1. ATTENTION: THIS IS A LICENSE, NOT A SALE, THIS PRODUCT IS PROVIDED UNDER THE FOLLOWING LICENSE WHICH DEFINES WHAT YOU AND MAY DO WITH THIS PRODUCT, AND CONTAINS LIMITATIONS ON WARRANTIES AND YOUR REMEDIES. IT IS IMPORTANT THAT YOU CAREFULLY READ THIS LICENSE BEFORE USING THIS PRODUCT.

LICENSE

1. Using this product indicates your acknowledgment that you have read this license and accept all the terms and conditions of this agreement. If you do not agree with the terms and conditions of the Agreement, return the CD-ROM, UNOPENED, immediately to the location where you obtained it for a full refund less a 10% re-stocking fee.

2. Scope of Use. In this License, "Image" shall mean any representation of any of the digitized images on this CD-ROM , "Animation" shall mean any representation of the ordered collection of Images located in any single directory of this CD-ROM and "Software" shall mean the machine readable software programs in this package. You may use one copy of (a subset of) the Images, Animations and Software on a single computer, provided that (a subset of) the Images, Animations and Software is in use on only one computer at any time. An Image, Animation or Software is in use on a computer when any part of that Image, Animation or Software is in loaded into or mapped to the address space of an executable program. You may not rent, loan, or lease any Image, Animation or Software. You have the non-exclusive right to use the Images and Animations in any work so long as none of the Images or Animations themselves are resold or redistributed either by themselves or as part of a collection.

3. Assignment. You may transfer the Images, Animations and Software to a third party, only if you assign all of your rights under this License to the third party, cease all use of the Images, Animations and Software , and the third party agrees to the terms of this License.

4. Proprietary Rights. This license is not a sale. Video Collage, Inc. retains title and ownership of all Images, Animations and Software, the media on which they are recorded, and all subsequent copies of the Images, Animations and Software, regardless of the form or media in or on which the original and other copies may exist. Except as stated above, the License does not grant you any rights to patents, copyrights, trade secrets, or any other rights in respect to the Images, Animations and Software.

5. Term. The license is effective until terminated. Your license will terminate automatically if you fail to comply with any term of this License. Upon any such termination you must destroy all copies of the Images, Animations and Software.

6. Limited Warranty. (a) This Limited Warranty and any implied warranties are effective for a period of ninety (90) days from the date of delivery (the "Limited Warranty Period") as evidenced by a copy of your receipt. Video Collage, Inc. warrants to you that the Images, Animations and Software will perform under normal use without significant errors that render it unusable during the Limited Warranty Period. You must report all defects, and return the Images and Animations to the location where you obtained it with a copy of your receipt within such p+3eriod to be eligible for warranty service. (b) If any of the Images, Animations and 1Software fails to comply with this warranty, Video Collage, Inc. will, at its option and cost, either provide all corrections required for any errors, replace the Images, Animations and Software or refund the license fee for the Images and Animations. (c ) Video Collage, Inc. does not and cannot warrant the performance or result you may obtain by using the IMAGES, ANIMATIONS AND SOFTWARE or that use of the IMAGES, ANIMATIONS AND SOFTWARE will be uninterrupted or error-free. The foregoing state the sole and exclusive remedies for Video Collage's breach of warranty. Except for the above express limited warranties, Video Collage makeS and you receive no warranties or conditions, express, implied, statutory or in any communication with you, and specifically disclaims any implied warranty of merchantability, noninfringement or fitness for a particular purpose. (d) Some states or provinces do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you. This warranty gives you specific legal rights. You may have other rights which vary from state to state or province to province. 7. Limit of Liability. (a) IN NO EVENT WILL VIDEO COLLAGE, INC. BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A VIDEO COLLAGE REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY PARTY. (b) Some states do not allow the exclusion of incidental, consequential or special damages, so the above limitation or exclusion may not apply to you.

8. Choice of Law. This License will be governed by the laws in force in the Commonwealth of Massachusetts. This License will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

9. Integration. You acknowledge that you have read this License, understand it and that it is the complete and exclusive statement of your agreement with Video Collage, Inc. which supersedes any prior agreement, oral or written, between Video Collage, Inc. and you with respect to this license. No variation of the terms of the License will be enforceable against Video Collage, Inc. unless Video Collage, Inc. give its express consent, in writing signed by an officer of Video Collage, Inc.

10. Severability. If any provision of the License is held invalid, the remainder of this Agreement shall continue in full force and effect.
